Organisation of the Prize Draw

The company Too Good To Go Ltd. (hereinafter "TGTG") whose registered office is located at 74 Rivington Street EC2A 3AY London, England, is organising the prize draw described in the Prize Draw Rules Details page.

Registering for the Prize Draw implies unreserved acceptance of and compliance with the provisions of these rules, which can be accessed at any time during the Prize Draw with the link specified in the Prize Draw Rules Details Page.

TGTG reserves the right to extend, withdraw, alter or suspend the Prize Draw or these rules at any time if circumstances beyond its control make this unavoidable.

This Prize Draw is not organized or sponsored by Facebook, Instagram, Google, Apple or Microsoft, which shall not be held responsible in any way for any dispute related to the Prize Draw.

For any questions, information or complaints, the participant shall contact TGTG at the email address specified in the Prize Draw Rules Details Page.

Conditions of participation

This Prize Draw is open to any Resident of the United Kingdom of Great Britain and Northern Ireland over the age of 18 who has saved (understood as purchased and collected) a minimum of 1 Surprise Bag in the United Kingdom through the TGTG app in the period of set out in the Prize Draw Rules Details, except for TGTG employees and their families, as well as any person who participated in the development of the Prize Draw. It is strictly forbidden for a participant to participate from an account opened for the benefit of another person. Only one account may be used per individual participant.

Save for the meal purchases, participation in this Prize Draw is free and requires no entry fees. No additional amount shall be charged upon registration nor any changes in quality or quantity of the eligible meals shall be implemented. All meals which are eligible for participation in the Prize Draw must be purchased through the regular procedure on the TGTG app and for its standard price, to which TGTGs Terms and Conditions apply. Alternatively, it is also possible to enter the Prize Draw via the webpage https://contest.tgtg.to/win-iphone-alternate, through which no purchase is required.

Any person meeting the conditions for participation above who wishes to participate in the Prize Draw shall follow the process defined in the Prize Draw Rules Details Page. Only Participants who have complied with all the processes defined in the Prize Draw Rules Details Page will be considered as participants.

Prizes

The prizes are available as part of the Prize Draw and specified in the Prize Draw Rules Details Page. Eventual photographs or graphic representations presenting the prizes are provided for illustration purposes only and may under no circumstances be considered as being contractual.

The draw(s) will be made among the people who have purchased meals on the TGTG app and followed the additional registration steps described on the Prize Draw Rules Details. Each winner will therefore receive the prizes specified in the Prize Draw Rules Details Page.

If the prize is composed of vouchers for saving meals on the TGTG app, a corresponding code shall be provided to the winner(s). This code must be inserted on the TGTG app within 30 (thirty) days of its issue. After activated, the winner(s) will be provided with the number of meals which compose the prize. All vouchers must be used within 1 (one) year of activation. After the expiry date of the vouchers, no refunds or monetary compensation will be provided for vouchers which have not been claimed.

Designation of winners

The winners will be determined by random draw done using the following website/tool https://www.easypromosapp.com/ on the date specified in the Prize Draw Rules Details Page. The purchase of additional meals in the TGTG app above the minimum threshold established by the Condition of Participation shall not influence the likelihood of being designated as a winner of the Prize Draw. The chance of winning is therefore solely dependent on the number of participants and is not determinable before the draw.

The winners will be contacted by email following the draw, confirming the nature of the prize won and how to receive it. Any winner who does not respond within 8 days from the date of notification of his/her prize shall be deemed to have forfeited it and the prize shall be lost or awarded to a new winner. 

If they are declared winners, it is expressly agreed that participants in the Prize Draw authorise TGTG to use their Instagram name, for advertising purposes on TGTG’s Instagram account, without restriction or reservation, and without this conferring them any remuneration, right or benefit whatsoever other than the award of their prize.

TGTG reserves the right to verify the age of any winner before awarding the prize. Prizes may not be exchanged for their cash value or for any other prize. TGTG cannot be held liable for the use or non-use, or even trading, of the prizes by the winners. In the event of circumstances beyond the reasonable control of TGTG, TGTG reserves the right to replace the prize won by a prize of equivalent nature and value.

Intellectual Property Rights

Participant acknowledges that TGTG is the sole and exclusive owner of any and all rights, including intellectual property rights, regarding this Prize Draw, its content and TGTG’s trademarks. Nothing in this Prize Draw shall grant any right, title or interest in or to TGTG’s contents and trademarks to any Participant.

TGTG reserves the right to exploit the results of the Prize Draw and to disseminate the eventual photographs, drawings, recipes or any other work of the Participants on its various existing and future communication media (website, social networks) for promotional, public relations or other purposes without remuneration other than the prizes won.

Participant grants TGTG a worldwide, irrevocable, unrestricted, royalty-free, sub-licensable and transferrable right and license to exploit any content provided in the course of the Prize Draw in any media now or hereafter known, without any payment or other consideration of any kind, or permission or notification, to him/her or any third party, for any purpose, including, without limitation the right to reproduce, display, distribute, publicly perform, create derivative works of, alter, amend, broadcast, edit, publish, use, merchandise, license, sublicense, and adapt the content in any and all media now or hereafter known, throughout the world, for any purpose, whether commercial in nature or otherwise. Participant guarantees that they have the legal power to grant the above license and that any content provided by them in the course of the Prize Draw is free from third-party rights.

Liability

Nothing in these rules shall limit or exclude TGTG’s liability for: (i) death or personal injury caused by TGTG’s negligence; (ii) fraud or fraudulent misrepresentation; and (iii) any matter in respect of which it would be unlawful for TGTG to exclude or restrict its liability.

TGTG’s liability is strictly limited to the delivery of the prizes actually and validly won. TGTG shall not be held responsible:

• for any incident or accident that may occur during the enjoyment of the prize awarded and/or due to its improper use by each winner.
• for any problems of delivery or loss of postal or electronic mail (in particular with regard to the delivery of prizes). Any prizes sent by TGTG to a winner that is unclaimed or returned for any other reason by the postal services will be lost to the winner and will remain the property of TGTG.
• for any direct or indirect, material or moral damage whatsoever if the Prize Draw is cancelled, temporarily or permanently unavailable, does not take place according to the announced rules or, in general, if participation in the Prize Draw proves temporarily or permanently impossible.
• for any damage caused to a participant, his/her computer equipment and/or the data stored on it, as well as for any direct or indirect consequences that may result from this on his/her personal or professional activity. Therefore, each participant is responsible for the security systems that he/she puts in place on his/her computer equipment, and TGTG cannot be held responsible for contamination by possible viruses or for the intrusion of a third party into the computer system of any participant in the Prize Draw.
• in the event of communication network failures, malfunction of the reception equipment, or network congestion preventing the smooth running of the Prize Draw or causing, directly or indirectly, a loss of chance in participating in the Prize Draw.

The above limitations of liability shall apply to the maximum extent permitted by applicable law.

TGTG may cancel all or part of the Prize Draw if it appears that fraud has been organized, in any form whatsoever and in particular in a computerized manner and has occurred during the course of the Prize Draw or in the context of determining the winners. In this case, TGTG reserves the right not to award the prizes to the fraudsters and/or to prosecute them before the competent courts.

Data protection

The personal data collected by TGTG in the course of this Prize Draw concerning the Participants directly are necessary to enable their participation to be taken into account, the determination and announcement of the winners, the proper execution of the prize draw, and the allocation of the prizes, failing which the participant's participation will not be taken into account. This information may be transmitted to a service provider for draw of the winners and the delivery of prizes. In accordance with the provisions of Regulation 2016/679/EU of 27 April 2016 relating to data protection, participants in the Prize Draw have a right of access, rectification and opposition on personal data concerning them. Law & Venue

Any possible dispute on the interpretation of the rules shall be decided by TGTG and shall be governed by the law of England and Wales. Legal proceedings in respect of these terms and conditions shall be brought before the competent Courts of England and Wales.
